Welcome to LitCommerce. These Terms of Service (“Terms”) will govern your access to and use of our service, software, application, plug-in, component, fuctionality, or program created by LitCommerce (collectively, “Services”). Please read these following terms and conditions carefully before using LitCommerce website or any of our Services. By using LitCommerce Services, you (“you” or “User”) signify that you have read, understand, and agree to be legally bound by these Terms. Violation of any of the terms below will result in the termination of your account relating to LitCommerce.

The terms “we”, “us” or “our” shall refer to LitCommerce. The terms “you”, “your”, “user” or “customer” shall refer to any individual or entity who accepts this Terms, or purchases our Services.

By using LitCommerce Site or our Services, you represent and warrant that you are: (i) at least eighteen (18) years old of age, (ii) otherwise recognized as having fully ability to form legally binding contracts under applicable law, or (iii) are not a person barred form purchasing or receiving the Services found under the laws of the United States or other applicable jurisdiction.

If you are entering to this Terms on behalf of a corporate entity, you must verify that you have the authority necessary to bind the entity to the Terms. In these cases, “you”, “your”, “user” or “customer” as used in these Terms shall refer to such corporate entity.

Modification of Terms, Site, or Services.

LitCommerce reserves the right to modify this Terms at any time. However, we will post any changes on this page and, if the changes are significant, we will have a prominent notice. Your continued use of the Services following such modifications shall constitute your consent to the modified Terms. If you don’t agree to be bound by this Terms at last revised, then you may not use (or continue to use) the Services. Therefore, you should regularly check for the most recent version.

It is highlighted that LitCommerce retains the right to modify, change, or discontinue any aspect of LitCommerce Site or Services, at any time. We also reserve the right to create limits on use, suspend or terminate users at our sole discretion at any time.

Your Registration Obligations.

To access to and use of our Services, you will be required to create an account in our Site or you can use your Google/Facebook account to sign in. When registering to LitCommerce, you represent and warrant to LitCommerce that all information you summit when you create your account is accurate, current and complete and you will keep these information accurate, current and complete. If we find out that your provided information is inaccurate, not current or incomplete, your account will be suspended or terminated. You are responsible for maintaining the security of your account and the accompanying password. You are solely responsible for all activities that occur on your account, LitCommerce will not be liable for any loss or breach of confidentiality from your failure to comply with this security obligation.

Availability of Website/Services.

We will make reasonable efforts to ensure our services is available to you on a 24/7 basis, which means you can access to our Services at any time. However, you must acknowledge and accept that there may be times when our Site/Services are inaccessible or inoperable for some following reasons: equipment malfunctions, periodic maintenance, repairs or replacement; or caused beyond our reasonable control or that are not reasonably foreseeable including, but not limited to, interruption or failure of telecommunication or digital transmission links, hostile network attacks, network congestion or other failures.

You will not be charged until the Free Trial has concluded. If you don’t want to continue using our Services, visit your Account and click the cancel link. Or else, you can choose a paid plan and enter billing information before your Free Trial ends, the Services will automatically renew at its then-current renewal price without any further actions from you.

The Free Service will not provide you an unlimited access to all features of our Services. If you don’t cancel the Free Service, it will automatically be renewed monthly. If you want to cancel or upgrade your Free Service, visit your Account and select the cancel link. If you choose to cancel Free Service, any content or data you have entered into the service will only be retained for 60 days from the date of cancellation for customers with billing addresses in non-GDPR countries or 30 days from the date of cancellation for customers with billing addresses in GDPR countries. The Free Service is only available for customers from some certain areas.

LitCommerce has the sole right to modify or end the Free Trial and Free Service, or offer another similar service, at any time. You will be charged then-current rates for the Service if we determine that you are not eligible for the Free Service.

Discontinued Services; End of Life Policy.

Although LitCommerce is continually striving to maximize the lifespan of our Services, we may discontinue one of our Services when it reaches its End-of-Life (EOL). In these cases, LitCommerce will no longer offer any support to that service, effective on the EOL date.

For any Service being planned for EOL, we will issue an EOL announcement one (1) calendar month or earlier prior to the EOL date. It is your responsibility to take all necessary steps to replace the Service by migrating to a new Service before the EOL date, or by entirely ceasing reliance on said Service before the EOL date. In either case, LitCommerce will either offer a comparable Service for you to migrate to for the remainder of the term of your purchase, a prorated in-store credit, or a prorated refund, to be determined by LitCommerce in its sole and absolute discretion. LitCommerce may, with or without notice to you, migrate you to the most up-to-date version of the Service, if available. You agree to take full responsibility for any and all loss or damage arising from any such migration.

Refund of Charges

It is of necessity to note that all LitCommerce services are prepaid for the period selected (monthly or annually) and LitCommerce does not provide any refunds for paying users if they cancel their accounts. You can cancel or downgrade your account at any time you want, which starts since the day your account was created.

Exceptionally, you are eligible for a refund in case you are a non-trial annually subscriber. Within 30 days of the day on which you are charged for your account, if you want to deactivate or downgrade your current account, you can request a refund from LitCommerce. In this case, you will receive a return of 80% of the annually fee.

Fees and Payment; Automatic Renewal.

Your charges and fees are set forth on your order documentation. You can choose from 2 pricing plans: monthly and annually. If the payment process fails, your account will be suspended or inaccessible until all payments have been successfully processed.

Price Changes: LitCommerce retains the right to change its prices and fees at any time without notice to customers. These price modifications will be posted online at this Site. If you are a monthly or yearly subscriber, changes in prices and fees will be applied to your next renewal term.

To ensure your continued use of our Services with no need to keep track of renewal dates, LitCommerce offers our services on an auto-renewing subscription basis. Unless you cancel your use of our Services prior to the eligibility end date, LitCommerce will automatically renew your subscription monthly or yearly depending on your current pricing plan. Your payment method will be charged the subscription charge on the first day of the renewal term.

Limitation of Liability and Disclaimer of Representation and Warranties.

The Services are available “AS-IS”. Your access to and use of the Services are at your own risk. You understand and agree that the Services are provided to you on an “AS IS” and “AS AVAILABLE” basis. LitCommerce make no warranty or representation and disclaim all responsibility and liability for the accuracy, completeness, availability, timeliness, security or reliability of the Services or any Content of this site; the accuracy, completeness or content of any sites linked (through hyperlinks…); whether the Services will meet your requirements or be available on an interrupted, secure, or error-free basis.

In no circumstance and in no event shall LitCommerce be liable to you for any direct, in direct, incidental, special, punitive or consequential damages or loss profits.

No advice or information, whether oral or written, obtained from the LitCommerce Entities or through the Services, will create any warranty or representation not expressly made herein.
